1. Acceptance of Terms
By creating an account or using NETS PAT Testing ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Description of Service
NETS PAT Testing is a web-based platform for Portable Appliance Testing (PAT) management, including asset tracking, test recording, certificate generation, label printing, and compliance reporting. The Service is provided as a software-as-a-service (SaaS) subscription.
3. Account Registration
You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be 18 years or older to use the Service. You must notify us immediately of any unauthorised use of your account.
4. Subscription & Billing
4.1 Plans
We offer Free, Starter, Professional, and Enterprise plans. Features, limits, and pricing are described on our pricing page and are subject to change with reasonable notice. The Free plan includes usage limits which are clearly stated on the pricing page.
4.2 Free Plan
The Free plan is available for as long as you need, with no time limit and no payment information required. It includes usage limits that may be updated from time to time. When you are ready for additional features or capacity, you may upgrade to a paid plan.
4.3 Payment
Paid plans are billed monthly or annually in advance, as agreed at sign-up. All invoices are due upon receipt. Payment may be made by BACS transfer or bank transfer. Enterprise customers may request bespoke billing arrangements. Late payments may result in service suspension after 14 days written notice.
4.4 Cancellation
You may cancel your paid subscription at any time. Access continues until the end of the current billing period. No refunds or credits are given for partial billing periods. Upon cancellation, you will be downgraded to the Free plan or your account will be closed at your direction. Your data will be retained in accordance with our Privacy Policy.
4.5 Price Changes
We may change subscription prices with at least 30 days notice. Price changes take effect at the next billing cycle. If you do not agree to a price change, you may cancel before it takes effect.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to circumvent usage limits, security measures, or access controls
- Upload or transmit malicious code, viruses, or anything that interferes with the Service
- Use the Service to store or transmit unlawful, infringing, or harmful material
- Attempt to access another user's account or data without permission
- Reverse-engineer, decompile, or extract the source code of the Service
- Use automated scripts, bots, or scrapers without our written consent
6. Data Ownership
You retain full ownership of all data you enter into the Service, including test records, asset information, client data, and certificates ("Your Data"). We do not claim any intellectual property rights over Your Data. You grant us a limited licence to process Your Data solely to provide the Service to you.
7. Data Processing
We act as a data processor for Your Data containing personal information. You are the data controller. We process data only according to your instructions and as described in our Privacy Policy. Both parties will comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.
8. Beta Features
From time to time, we may offer beta or experimental features. These are provided "as is" without any warranty and may be changed or removed at any time without notice.
9. Limitation of Liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law:
- We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement
- We do not warrant that the Service will be uninterrupted, error-free, or secure
- Our total liability to you for any claim arising from or relating to the Service shall not exceed the total fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
NETS PAT Testing is a management tool. It does not replace the professional judgement of qualified PAT testing engineers. Users remain solely responsible for compliance with applicable regulations, standards, and insurance requirements. We accept no liability for decisions made based on data produced by the Service.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.
10. Indemnification
You agree to indemnify and hold harmless North East Theatre Supplies, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these terms, or your violation of any law or third-party rights.
11. Service Level
We aim for 99.9% uptime, calculated monthly. Scheduled maintenance will be notified at least 24 hours in advance where possible. We are not liable for downtime caused by:
- Third-party services or infrastructure
- Internet connectivity issues outside our control
- Circumstances beyond our reasonable control (force majeure)
- Actions or omissions by you or your users
12. Suspension & Termination
We may suspend or terminate your account if you materially breach these terms, including non-payment or violation of acceptable use. We will provide reasonable notice where practicable and an opportunity to rectify the issue. Upon termination:
- You may export Your Data in CSV/PDF format within 30 days of termination
- After 30 days, Your Data will be securely deleted in accordance with our Privacy Policy
- Accrued payment obligations remain due
13. Changes to Terms
We may update these terms at any time. Material changes will be notified by email to account holders at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms. If you do not agree, you may cancel your account before the changes take effect.
14. Governing Law
These terms are governed by the laws of England and Wales. Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. General Provisions
15.1 Entire Agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service, superseding any prior agreements or understandings.
15.2 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
15.3 Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
15.4 Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including acts of God, war, terrorism, strikes, pandemics, or infrastructure failure.
15.5 Assignment
You may not assign or transfer your account or rights under these terms without our written consent. We may assign our rights and obligations under these terms without restriction.
15.6 Notices
All notices under these terms shall be sent to the email address associated with your account or to [email protected]. Notices are deemed received 24 hours after sending.
